Terms of Service

1. Agreement and Scope

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'you') and Baduno GmbH, Mainzer Landstr. 166, D-60327 Frankfurt am Main, Germany (Commercial Register: Amtsgericht Frankfurt am Main, HRB 111727, EUID: DEM1201.HRB111727) ('we', 'us', 'Jetweb').

By creating an account, accessing, or using any Jetweb service, you agree to be bound by these Terms. These Terms apply to all websites, applications, APIs, and services operated under jetweb.app and its subdomains. If you do not agree to these Terms, you must not use our services.

2. Definitions

  • 'Services' — All products, features, APIs, websites, and content provided by Jetweb.
  • 'Account' — Your registered user account on dashboard.jetweb.app.
  • 'Subscription' — A paid plan providing access to premium features of a specific product.
  • 'API Token' — A unique authentication key used to connect WordPress plugins to our services.
  • 'Content' — Any data, files, text, images, or materials you upload, submit, or process through our services.
  • 'Plugin' — A WordPress plugin developed by Jetweb that connects to our API services.

3. Our Services

Jetweb provides the following WordPress-focused SaaS products:

  • Image Optimizer — Image conversion (WebP, AVIF), compression, and CDN delivery for WordPress sites
  • Translate — AI-powered translation service for WordPress content and multilingual websites
  • Backup Vault — Automated WordPress backup and restore service with encrypted cloud storage
  • Cookie Guard — GDPR/TCF 2.2-compliant cookie consent management for WordPress
  • Live Chat — Real-time customer support chat widget with agent dashboard and ticket system

Additional products currently in development: SEO Boost, Speed Cache, and Security Shield. These will be subject to these Terms upon release.

4. Account Registration

To use our services, you must create an account. By registering, you agree to:

  • Be at least 16 years of age
  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activities that occur under your account

We strongly recommend enabling two-factor authentication (2FA) for your account. Available 2FA methods include TOTP authenticator apps, WebAuthn security keys, email OTP, and backup codes.

You must keep your API tokens confidential and not share them with unauthorized parties. You are responsible for any usage that occurs with your API tokens.

5. Subscription Plans and Pricing

Plan Tiers

Each product offers the following subscription tiers: Free, Starter, Pro, and Business. Plan features and limits are detailed on our pricing page and may be updated from time to time.

Billing

Subscriptions are billed either monthly or annually, in Euros (EUR). All prices are displayed inclusive of applicable VAT for EU consumers. VAT rates are applied based on your country of residence.

Payment Processing

All payments are processed by Stripe, Inc. Accepted payment methods include credit cards (Visa, Mastercard, American Express) and SEPA Direct Debit (for EUR bank transfers). We do not store your payment card details.

Plan Changes

Upgrades take effect immediately and are charged on a prorated basis. Downgrades take effect at the end of your current billing cycle — you retain access to your current plan features until then.

Failed Payments

If a payment fails, Stripe will automatically retry up to 3 times over the following days. If all retry attempts fail, your subscription will be suspended and your account will be downgraded to the Free plan. You will receive email notifications before suspension.

6. Free Plans

All products include a free tier with limited usage allowances. Free plans are intended for evaluation and small-scale use. Free plan users may experience lower processing priority during peak hours. No service level agreement (SLA) applies to free plans. We reserve the right to modify free plan limits with 30 days notice.

7. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms.

Permitted Use

You may use our services for your own websites, for client websites (if you are a web developer or agency), and for any lawful business purpose consistent with the intended functionality of each product.

Prohibited Activities

You must not:

  • Upload, process, or distribute illegal, harmful, or offensive content
  • Upload, distribute, or facilitate malware, viruses, or other harmful code
  • Attempt to bypass, circumvent, or manipulate service usage limits or restrictions
  • Resell, sublicense, or redistribute our services without prior written authorization
  • Use our services for sending spam, phishing, or unsolicited communications
  • Scrape, crawl, or systematically extract data from our services
  • Interfere with, disrupt, or overload our infrastructure or other users' access
  • Infringe upon the intellectual property rights of others
  • Violate any applicable local, national, or international law or regulation

8. API Usage Terms

Use of our APIs is subject to the following additional terms:

  • Rate limits are enforced based on your subscription plan. Exceeding rate limits may result in throttled or rejected requests.
  • API tokens must be stored securely and transmitted only over encrypted connections (HTTPS).
  • You must implement reasonable caching to minimize redundant API requests.
  • Automated scripts must implement exponential backoff when receiving error responses.
  • Bulk or batch operations should respect the documented batch limits for each endpoint.
  • We reserve the right to temporarily suspend API access if usage patterns indicate abuse.

9. WordPress Plugin Terms

Our WordPress plugins are licensed under the GNU General Public License v2 (GPL v2). Plugin use is subject to:

  • A valid Jetweb account and active API token are required for plugin functionality.
  • Plugins are compatible with WordPress 5.8 or higher and PHP 7.4 or higher.
  • You may modify the plugin source code under GPL v2 terms, but we do not provide support for modified versions.
  • Plugin updates are delivered automatically through your WordPress admin panel.
  • We do not guarantee compatibility with all WordPress themes, plugins, or hosting environments.

10. Intellectual Property

All Jetweb services, including the website, APIs, software, branding, design, and documentation, are the intellectual property of Baduno GmbH and are protected by German and international copyright, trademark, and other intellectual property laws.

You retain full ownership of all content you upload, submit, or process through our services. By using our services, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the service (e.g., optimizing images, translating text, storing backups).

The Jetweb and Baduno names, logos, and product names are registered trademarks of Baduno GmbH. You may not use these marks without our prior written consent.

11. Data Processing

Your personal data is processed in accordance with our Privacy Policy, available at www.jetweb.app/privacy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

If you require a Data Processing Agreement (DPA) for GDPR compliance, please contact us at [email protected]. We provide DPAs at no additional cost.

12. Service Availability

We strive to maintain high availability for all services but do not guarantee 100% uptime. The following applies:

  • Planned maintenance will be announced at least 48 hours in advance via email or dashboard notification.
  • We are not liable for service interruptions caused by force majeure events, including but not limited to natural disasters, war, government actions, power outages, internet disruptions, or third-party service failures.
  • Emergency maintenance may be performed without advance notice to address critical security or stability issues.
  • We do not provide uptime credits or financial compensation for service interruptions.

13. Limitation of Liability

To the maximum extent permitted by German law (BGB), the following limitations apply:

  • Our total liability for damages arising from or related to these Terms or your use of our services is limited to the total amount you paid to us in the 12 months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • We are not liable for damages resulting from unauthorized access to your account due to your failure to maintain adequate security measures.

These limitations do not apply to: liability for intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit), liability for injury to life, body, or health, liability under the German Product Liability Act (Produkthaftungsgesetz), or other mandatory liability under German law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Baduno GmbH, its directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your content or data processed through our services infringing the rights of any third party
  • Your use of the services in a manner not authorized by these Terms

15. Termination

Termination by You

You may cancel your subscription at any time from your dashboard. You may request complete deletion of your account and data by contacting [email protected].

Termination by Us

We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, fail to pay outstanding fees, or if required by law. We will provide notice when reasonably possible.

Effects of Termination

Upon termination: access to paid features is revoked immediately, your data is retained according to our data retention policy, any outstanding fees remain due, free plan features may remain accessible (unless terminated for cause), and API tokens are invalidated.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For business users: The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Frankfurt am Main, Germany.

For consumers in the EU: You may also bring proceedings in the courts of your habitual residence. The European Commission provides an Online Dispute Resolution platform at:

We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but may choose to do so voluntarily.

17. General Provisions

  • Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement — These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Baduno GmbH regarding your use of our services.
  • No Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Changes — We may modify these Terms with at least 30 days advance notice via email. Continued use of our services after the effective date of changes constitutes your acceptance of the updated Terms.
